Publisher Terms & Conditions

These terms ("Publishing Terms") govern your submission of Synthesizer Patches and Audio Samples ("Sounds") to Ultra.Audio (“we,” “us,” or “our”). By uploading Sounds to our platform, you agree to be bound by these Upload Terms in addition to our [Terms of Use] and [Privacy Policy].
1. Ownership
You retain all ownership rights in and to the Sounds you upload.
By uploading, you do not transfer copyright to us or to any user of the platform.
2. License to Us
You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to:
- Reproduce, distribute, stream, and publicly perform the Sounds
- Modify or encode Sounds for technical compatibility (e.g. previewing, packaging)
- Offer the Sounds to users under our standard end-user license (e.g., royalty-free use in derivative works)
This license lasts for as long as your Sounds are hosted on our platform.
3. License to Users
You authorize us to license your Sounds to users of our service under our [Sample Licensing Agreement] or equivalent license terms, which may include:
- Royalty-free usage in musical, audiovisual, and interactive works
- Commercial and non-commercial use
- Irrevocable usage rights after download
4. Copyright Responsibility and Content Removal
You are solely responsible for ensuring that all Sounds you upload to the platform do not infringe the copyright or other intellectual property rights of any third party.
Uploaded Sounds may be removed from the platform at any time and for any reason, at the sole discretion of Ultra.Audio, without prior notice.
In the event that a valid copyright complaint or infringement claim is made regarding your uploaded content, you understand and agree that your contact details may be disclosed to the complaining party in accordance with applicable copyright law (such as the Digital Millennium Copyright Act) or other legal requirements.
4. Revenue Share
- Publishers will receive 70% of Net Revenue generated from the sale or licensing of their Sounds through the Platform.
- "Net Revenue" is defined as the gross amount received by Ultra.Audio, less:
- Payment processing fees (e.g., Stripe, PayPal)
- Refunds and chargebacks
- Taxes and duties (e.g., VAT, GST)
5. Payout Schedule
- Payments are made monthly, on or around the 15th of each month, for revenue earned in the previous calendar month.
- The minimum payout threshold is $50 USD. Balances under this amount will roll over to the next payment cycle.
6. Payment Method
- Payments are issued via Stripe.
- It is your responsibility to ensure your payment details are accurate and up to date in your Publisher account.
